Please read these Terms of Service carefully before using PaveDesk. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and PaveDesk, Inc., a Delaware corporation (“PaveDesk”, “we”, “us”, or “our”), governing your access to and use of the PaveDesk software platform and related services.
By creating an account, clicking “I agree”, or using any portion of the Services, you represent that:
- You are at least 18 years of age
- You have the legal authority to enter into this agreement on behalf of yourself or your organization
- Your use of the Services will comply with all applicable laws and regulations
2. Description of Services
PaveDesk provides a cloud-based business management platform for pavement and asphalt contractors, including tools for:
- Creating and sending professional proposals with e-signature capability
- Conducting GPS-documented site audits with photo capture
- Managing leads and customer relationships (CRM)
- Creating and tracking work orders
- Providing clients with a branded portal for job tracking and document access
- Generating invoices and tracking payments
- Reporting and business analytics
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time with reasonable notice to active subscribers. For material changes that reduce functionality, we will provide at least 30 days' notice.
3. Accounts & Registration
Account Creation
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Team Members
If you invite team members to your account, you are responsible for their use of the Services and their compliance with these Terms. Each user must have their own login — sharing credentials is not permitted.
Account Security
You must notify us immediately at security@pavedesk.com if you become aware of any unauthorized access to your account. We are not liable for losses caused by unauthorized account access resulting from your failure to secure your credentials.
4. Subscription & Billing
Subscription Plans
PaveDesk is offered on a subscription basis. Current plan pricing and features are described on our Pricing page. Plans are billed monthly or annually in advance.
Free Trial
We offer a 14-day free trial with full access to Pro plan features. No credit card is required to start a trial. At the end of the trial period, you must select a paid plan to continue using the Services.
Payment
Payments are processed securely by Stripe. By providing payment information, you authorize PaveDesk to charge your payment method on the applicable billing cycle. All fees are in US dollars and are exclusive of applicable taxes.
Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time from your account settings.
Refunds
Monthly subscriptions are non-refundable. For annual subscriptions, if you cancel within the first 30 days, we will issue a pro-rated refund for the unused portion. After 30 days, annual subscriptions are non-refundable but remain active until the end of the paid period.
Price Changes
We will provide at least 60 days' advance notice of any price increases. Price changes take effect at your next renewal date.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable local, state, national, or international law
- Transmit spam, unsolicited communications, or bulk commercial email
- Upload, store, or distribute malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or attempt to extract our source code
- Resell, sublicense, or make the Services available to third parties without our written permission
- Use automated tools (bots, scrapers) to access the Services in a way that creates excessive load
- Store or transmit content that is defamatory, obscene, fraudulent, or infringes on third-party rights
We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.
6. Your Data
Ownership
You retain full ownership of all data you enter into PaveDesk, including client information, proposal content, photos, and business records (“Customer Data”). We do not claim any ownership rights over your Customer Data.
License to Operate
By using the Services, you grant PaveDesk a limited, non-exclusive license to store, process, and transmit your Customer Data solely to provide and improve the Services.
Data Export
You can export your data at any time in standard formats (CSV, PDF) from your account settings. We encourage you to export data regularly.
Data Processing
Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
7. Intellectual Property
PaveDesk IP
The Services, including all software, designs, logos, trademarks, and documentation, are owned by PaveDesk and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in the Services.
License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term, solely for your internal business purposes in accordance with these Terms.
Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant PaveDesk a royalty-free, worldwide license to use that feedback without restriction or compensation to you.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is marked as confidential or that would reasonably be understood to be confidential (“Confidential Information”). This obligation does not apply to information that:
- Becomes publicly available through no fault of the receiving party
- Was already known to the receiving party prior to disclosure
- Is independently developed without use of the disclosing party's information
- Is required to be disclosed by law or court order
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION.
We do not warrant that the Services will meet your specific requirements, that data will be error-free, or that defects will be corrected. We are not responsible for the accuracy of proposals, estimates, or financial projections generated using the Services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAVEDESK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL PAVEDESK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO PAVEDESK IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500 USD.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless PaveDesk and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Services in violation of these Terms
- Your Customer Data or any content you submit through the Services
- Your violation of any third-party rights, including privacy, intellectual property, or contractual rights
- Your violation of any applicable law or regulation
12. Termination
By You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not prorate partial months.
By PaveDesk
We may suspend or terminate your access to the Services immediately if:
- You materially breach these Terms and fail to cure within 10 days of notice
- You fail to pay fees when due after reasonable notice
- We are required to do so by law
- We reasonably believe continued service creates a security or legal risk
Effect of Termination
Upon termination, your access to the Services will cease. You will have 90 days to export your Customer Data. After that period, we will delete your data in accordance with our Privacy Policy. Sections 6 (Your Data ownership), 7 (IP), 9 (Warranties), 10 (Liability), 11 (Indemnification), and 13 (Governing Law) survive termination.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from these Terms will be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in Austin, Texas.
Class Action Waiver: You agree to resolve disputes with PaveDesk on an individual basis and waive the right to participate in class action lawsuits or class-wide arbitration.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. We will provide at least 30 days' advance notice of material changes via email and an in-app notification. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance.
If you do not agree to updated Terms, you may cancel your subscription before they take effect.
